1. DEFINITIONS

"Company" means Carmart Online Marketplace, trading as Carlots.ng, with principal office at 12 Adesina St, Ikeja 102215, Lagos, Nigeria.

"Platform" means Carlots.ng, including all web and mobile services.

"User" / "You" means any person or entity accessing or using the Platform, whether as a buyer, seller, renter, or visitor.

"Vehicle" means any car, motorcycle, or automotive product listed on Carlots.ng.

"Services" include vehicle listings, rentals, Buy4Me service, Vehicle Report Lookup, Used Car Finance, Car Accessories via Carfanzy, and all related features provided on the Platform.

"Agreement" means these Terms & Conditions, including schedules, appendices, and policies referenced herein.

2. USE OF PLATFORM

2.1 Carlots.ng provides an online marketplace for buying, selling, renting and financing vehicles, and for purchasing accessories.

2.2 By using the Platform, you affirm that you are at least 18 years of age and legally capable of entering into binding contracts under Nigerian law.

2.3 You agree not to misuse the Platform, including posting false information, fraudulent listings, or engaging in unlawful activity. Carlots.ng reserves the right to investigate and suspend accounts suspected of misuse.

3. ACCOUNT REGISTRATION

3.1 Users must register to list or purchase vehicles. You agree to provide accurate, current and complete information, and to update such information to keep it accurate.

3.2 You are responsible for maintaining the confidentiality of your account credentials. Carlots.ng shall not be liable for unauthorized access due to user negligence. Notify us immediately of any suspected breach.

3.3 We may require identity verification (KYC) for certain services (sales, financing, Buy4Me). Failure to complete KYC may limit access to some features.

4. VEHICLE LISTINGS & SALES

4.1 Sellers must ensure all vehicles listed are accurately described and legally transferable. Sellers must have valid ownership documents (including proof of customs clearance for imports) and must disclose any liens or encumbrances.

4.2 All listings are subject to verification by Carlots.ng before publication. Verification may include document checks and physical inspection where required.

4.3 The Company does not guarantee a sale. Transactions occur between buyers and sellers on a willing buyer–willing seller basis. Carlots.ng acts as a facilitator and is not a contracting party to the sale unless explicitly stated otherwise in a written agreement.

4.4 Misrepresentation of a vehicle (false condition, forged documents, tampered odometer, undisclosed accident history) may lead to suspension of your account, removal of listings, refund obligations and legal action.

5. PRICING & PAYMENT

5.1 Prices displayed on the Platform are provided by sellers or derived from our market tools (including the Price Checker tool). All prices are stated in Nigerian Naira (NGN) unless otherwise indicated. Prices may change without prior notice and availability of any Vehicle or item is subject to the seller's confirmation.

5.2 Carlots.ng is a marketplace and facilitator only. Unless expressly stated otherwise in a written agreement, Carlots.ng does not act as an agent, trustee, escrow holder, payment processor, or financial adviser in respect of payments between buyers and sellers. Any payment for a Vehicle, accessory, rental, or service is a matter solely between the buyer and the seller or between the buyer and a third-party finance or escrow provider engaged by the parties.

5.3 Payment methods, timing, and settlement are determined by agreement between the buyer and the seller or by the terms of a third-party finance or escrow provider. Where the parties elect to use an authorized Carlots.ng payment or escrow partner, funds held in escrow will be subject to that partner's terms and conditions and will be released only after the agreed conditions have been satisfied. Carlots.ng may facilitate introductions to authorized partners but is not responsible for the performance, solvency, conduct, or decisions of such partners.

5.4 Carlots.ng expressly disclaims any liability for:

• Any loss arising from payments made directly by a buyer to a seller outside of an authorized escrow or payment channel;
• Any fraud, payment reversal, chargeback, or payment failure that arises in transactions conducted between users;
• Any dispute about payment amounts, refunds, or alleged non-delivery of goods or services where such payments were made directly to the counterparty.

5.5 For your protection, Carlots.ng strongly recommends that:

• Users use an authorized escrow or payment provider where available, and obtain written confirmation of payment conditions and release criteria;
• Buyers obtain and retain receipts, payment confirmations, tracking information, and any written contract or invoice; and
• Parties avoid transferring funds before satisfactory inspection, verification, or completion of agreed delivery/transfer conditions, unless using a trusted escrow arrangement.

5.6 Where Carlots.ng provides or recommends a financing product, the finance agreement is between the borrower and the finance provider. The finance provider is solely responsible for credit decisions, interest charges, collections, and repossession actions. Carlots.ng is not a lender and accepts no liability for any credit decision made by a finance provider.

5.7 In the event of a payment dispute, users should first contact the counterparty to attempt resolution. If resolution is not possible, users may contact Carlots.ng support at support@phplaravel-1524348-5868542.cloudwaysapps.com for guidance. Carlots.ng may, at its discretion, provide information or assist in communications between parties, but we do not guarantee any outcome and are not liable for unpaid sums or refunds.

5.8 All applicable fees, including premium listing charges, service fees, rental charges, or finance-related fees payable to Carlots.ng (if any), must be paid in accordance with Carlots.ng’s published fee schedule. Carlots.ng reserves the right to amend fees and payment terms from time to time; such changes will be posted on the Platform.

6. VEHICLE INSPECTION & REPORTS

6.1 Buyers are strongly advised to conduct a Vehicle Report Lookup and, where appropriate, a physical inspection before purchasing.

6.2 Carlots.ng may offer inspection and verification services using internal teams or third-party inspectors. Such inspections are reports of observed condition at the time of inspection and are provided on a best-efforts basis.

6.3 Carlots.ng does not guarantee every aspect of a vehicle’s condition and is not responsible for latent defects discovered after sale, except where a separate warranty is expressly provided by a seller or third-party provider.

7. RENTALS

7.1 All rentals are governed by separate rental agreements specifying duration, permitted usage, fees and responsibilities.

7.2 Renters must provide valid identification and a valid driver’s licence recognized in Nigeria. Renters must comply with road traffic regulations and the terms of the rental agreement.

7.3 Any damage, fines, accident or violation during the rental period is the renter’s responsibility. Insurance coverage, if provided, is subject to the policy terms and the renter must comply with claims procedures.

8. BUY4ME SERVICE

8.1 Buy4Me allows Carlots.ng to assist in sourcing, inspecting and purchasing vehicles on behalf of a user, including import and clearance where applicable.

8.2 Users must pre-authorize budgets, make required deposits and approve inspection reports before purchase. All costs (purchase price, shipping, customs, handling fees) are to be borne by the user unless otherwise agreed.

8.3 Carlots.ng is not liable for delays or losses resulting from customs examinations, import regulations, shipping disruptions, or force majeure events outside its control.

9. INTELLECTUAL PROPERTY

9.1 All content on Carlots.ng (including but not limited to logos, text, images and software) is the intellectual property of Carmart Online Marketplace or its licensors.

9.2 Users are granted a limited, non-exclusive, non-transferable licence to view and interact with content for lawful personal use. Reproduction, distribution, scraping or commercial use without written permission is prohibited.

10. PROHIBITED USE

• Use the Platform for fraudulent or illegal transactions.
• Upload harmful code, malware or attempt to disrupt our services.
• Create fake listings, impersonate other users or offer stolen vehicles.
• Harvest, scrape or otherwise reproduce Platform data without consent.

11. LIMITATION OF LIABILITY

11.1 Carlots.ng acts as an intermediary and is not a party to sales contracts between users unless expressly stated in writing.

11.2 To the fullest extent permitted by Nigerian law, Carlots.ng shall not be liable for indirect, incidental, special or consequential losses (including lost profits, goodwill or opportunity).

11.3 Carlots.ng's total aggregate liability for any claim arising out of or related to these Terms shall not exceed the total value of service fees paid by the user for the specific transaction giving rise to the claim.

12. INDEMNITY

You agree to indemnify, defend and hold harmless Carlots.ng, its officers, directors, employees and partners from and against any and all losses, liabilities, claims, damages, costs and expenses (including legal fees) arising from your breach of this Agreement, your fraudulent activity, or your violation of applicable law.

13. TERMINATION

13.1 Carlots.ng may suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or for other reasonable cause, with or without prior notice.

13.2 Users may terminate their account by sending a written request to support@phplaravel-1524348-5868542.cloudwaysapps.com. Termination does not relieve outstanding obligations incurred prior to termination.

14. GOVERNING LAW & DISPUTE RESOLUTION

14.1 This Agreement is governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

14.2 Parties shall first attempt to resolve disputes amicably. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts of Lagos State, Nigeria unless otherwise agreed in writing.

15. MODIFICATION OF TERMS

Carlots.ng reserves the right to amend these Terms & Conditions at any time. Changes will be posted on the Platform with an updated effective date. Continued use of the Platform after publication of changes constitutes acceptance of the updated Terms.
